Terms of Service

These Terms of Service and End-User License Agreement (the ”Terms”) govern your access to and use of Markus, a desktop application (the ”Software”) provided by KODYO SRL (”Kodyo”, ”we”, ”us”).
By downloading, installing, activating, or using the Software, you agree to these Terms. If you do not agree, do not install or use the Software.

2. The Software
Markus is a local-first markdown editor for desktop. It edits Markdown (.md) files stored on your own device. Markus does not require a user account, does not synchronize your content to our servers, and does not transmit the documents you write to us.
The Software is provided for macOS, with Windows and Linux versions offered as they become available.
3. License grant
Subject to your compliance with these Terms and, where applicable, your payment of the license fee, Kodyo grants you a perpetual, non-exclusive, non-transferable, worldwide license to install and use the Software for your own purposes.
A single license:
- Is personal to you (or, for a business purchase, to the named licensee);
- Covers the current major version of the Software and any updates we choose to make available to that version;
- May be used across the supported platforms (macOS, and Windows/Linux as released) by the same licensee;
- May be activated on a reasonable number of devices that you personally control.
”Perpetual” means the license does not expire and does not require a subscription. It does not guarantee that future major versions, new features, or support will be provided indefinitely (see §7).
4. Free trial
The Software is available as a 14-day free trial, with no payment method required to start. During or after the trial you may purchase a license to continue using the Software beyond the trial period. We may modify the duration or conditions of the trial for future users; any change will not retroactively shorten a trial already in progress.
5. License keys and activation
Licenses are activated using a cryptographically signed license key. You are responsible for keeping your license key confidential. You may not:
- Share, resell, sublicense, or publish your license key;
- Circumvent, disable, tamper with, or reverse-engineer the license verification mechanism;
- Use a license key obtained other than through a legitimate purchase.
We may invalidate keys that we reasonably determine to have been shared publicly, fraudulently obtained, or used in breach of these Terms.
6. Restrictions
You may not:
- Copy, modify, or create derivative works of the Software, except as expressly permitted by these Terms or by applicable mandatory law;
- Reverse-engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law;
- Remove or alter any proprietary notices;
- Rent, lease, lend, sell, redistribute, or sublicense the Software;
- Use the Software to develop a competing product by copying its implementation.
Nothing in these restrictions limits your rights over your own content. Your Markdown files are yours. The Software stores them as standard .md files on your device, in a portable, non-proprietary format that you can open in any other editor at any time.
7. Updates and support
We may, but are not obligated to, provide updates, bug fixes, or new features for the version you licensed. Where we provide updates to your major version, they are covered by your existing license at no additional cost.
Major new versions may be offered as separate paid upgrades. We will communicate clearly before any such version is released.

8. Purchases, billing, and taxes
Purchases of the Software are processed by Lemon Squeezy acting as our Merchant of Record. This means that, for the purchase transaction:
- Lemon Squeezy (a Stripe company) is the seller and merchant of record;
- Lemon Squeezy handles payment processing, invoicing, and the collection and remittance of any applicable sales tax, VAT, or equivalent;
- Your purchase is also subject to Lemon Squeezy’s own terms and privacy policy, which you accept at checkout, in addition to these Terms.
Kodyo remains the licensor and provider of the Software. These Terms govern your right to use the Software regardless of who processed the payment.
Prices are displayed at the point of sale. Unless stated otherwise, the displayed price may exclude or include applicable taxes depending on your location, as determined at checkout.
9. Refunds
Refunds are handled in accordance with our Refund Policy and, where applicable, by Lemon Squeezy as merchant of record. Because a free trial is available before purchase, we encourage you to evaluate the Software fully during the trial.
10. Third-party components
The Software incorporates open-source and third-party components, each under its own license. A complete list of these components and their licenses is provided with the Software (THIRD-PARTY-LICENSES). Your use of those components is governed by their respective licenses.
11. Intellectual property
The Software, its source code, design, and the “Markus” and “Kodyo” names and logos are and remain the property of Kodyo or its licensors. These Terms grant you a license to use the Software; they do not transfer any ownership.
12. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components, or that defects will be corrected.
This section does not affect mandatory statutory rights you may have as a consumer under Belgian or EU law, which cannot be excluded.
13. Limitation of liability
To the maximum extent permitted by applicable law, Kodyo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or related to your use of or inability to use the Software.
To the extent Kodyo is found liable, its total aggregate liability shall not exceed the amount you paid for the license in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
14. Your content and data
You are solely responsible for your content and for maintaining backups of your files. Because Markus is local-first and does not sync your content to us, we cannot recover files you lose. We recommend regular backups and, where relevant, version control.

15. Termination
This license is effective until terminated. It terminates automatically if you breach these Terms. On termination you must stop using and delete all copies of the Software. Your perpetual license otherwise continues for as long as you comply with these Terms.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through reasonable means (for example, the Software or our website). Changes do not retroactively reduce the rights of an already-purchased perpetual license.
17. Governing law and jurisdiction
These Terms are governed by the laws of Belgium, without regard to conflict-of-law rules. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of the judicial district of Walloon Brabant (Nivelles), Belgium, except where mandatory consumer-protection law grants you the right to bring proceedings in the courts of your place of residence.
